Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website and services provided by Etalonix ("Etalonix", "we", "us", or "our"). Etalonix is a trading name of Sviatoslav Oleksiv, sole proprietor registered in Poland (CEIDG), whose business address is given in section 13. Any agreement formed under these Terms is with Sviatoslav Oleksiv trading as Etalonix. By accessing or using our website or services (collectively, the "Services"), you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Acceptance of Terms

By accessing the Services, booking a call, or entering into a service agreement with us, you confirm that you are at least 18 years old and able to enter into a binding contract.

2. Description of Services

Etalonix is a software company. We design, build, host, and operate our own software applications, and we carry out software design, development, integration, hosting, and maintenance work for clients. Our products include a virtual AI receptionist and website chat agent, and we provide personalized AI receptionist demos on request. The specific scope, deliverables, and fees for any engagement are set out in a separate written service agreement or proposal.

3. SMS and Messaging Terms

These messaging terms apply to the Etalonix AI Receptionist Demo program, operated by Etalonix. By providing your mobile number and opting in through a Meta/Facebook lead form, a form on our website, our website chat widget, or another Etalonix consent point, you agree to receive recurring text messages (SMS/MMS) from Etalonix at that number. Messages are sent from an Etalonix United States toll-free number.

• Program name. Etalonix AI Receptionist Demo.
• Message types. The personalized AI receptionist demo you requested, messages related to that demo, replies to your questions, and customer-care and service messages such as appointment and account updates. Promotional or marketing messages are sent only if you have separately given the consent required for them.
• Consent is not a condition of purchase. You are not required to agree to receive marketing text messages in order to buy any goods or services.
• Message frequency. This is a recurring messaging program and message frequency varies based on your interaction with us.
• Rates. Message and data rates may apply, according to your mobile carrier plan.
• Opt out. Reply STOP to any message to cancel at any time. You will receive one message confirming your opt-out, after which we will stop sending messages to that number. Opting out of marketing messages does not prevent us from sending non-marketing messages permitted by law.
• Help and support. Reply HELP to any message, email us at hello@etalonix.com, or call +48 730 245 488.
• Carriers. Carriers are not liable for delayed or undelivered messages. Delivery is subject to carrier and network conditions and is not guaranteed.

We do not sell, rent, transfer, or share text messaging opt-in data or consent with third parties, and no mobile information is shared with third parties or affiliates for marketing or promotional purposes. Our handling of mobile information is described in our Privacy Policy.

4. Client Responsibilities

You agree to:

• Provide accurate, current, and complete information;
• Supply timely access, materials, and approvals needed to deliver the Services;
• Use the Services and any provided tools in compliance with applicable laws; and
• Be responsible for the content and claims in materials you provide to us.

5. Fees and Payment

Fees, billing frequency, and payment terms are specified in your service agreement. Unless stated otherwise, fees are due in advance, are non-refundable except as expressly provided, and late amounts may result in suspension of the Services.

6. Guarantees and Refunds

Any performance guarantee or refund terms apply only as expressly stated in your written service agreement. Except where required by law or stated in that agreement, payments are non-refundable.

7. Intellectual Property

We retain ownership of our pre-existing materials, methods, and tools. Upon full payment, you receive the rights to the final deliverables specified in your service agreement. You retain ownership of the content and trademarks you provide to us.

8. Acceptable Use

You may not use the Services to violate any law, infringe third-party rights, transmit unlawful or harmful content, or interfere with the operation or security of the Services.

9. Third-Party Services

The Services may rely on or integrate third-party tools and platforms (for example, LeadConnector / HighLevel, Twilio, Meta, and Google). Your use of those services may be subject to their own terms, and we are not responsible for third-party products or outages.

10. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not guarantee specific results, revenue, lead volume, or rankings, as outcomes depend on factors outside our control.

11. Limitation of Liability

To the maximum extent permitted by law, Etalonix will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our total liability for any claim will not exceed the amount you paid us for the Services in the three months preceding the claim.

12. Indemnification

You agree to indemnify and hold Etalonix harmless from any claims, damages, and expenses arising out of your use of the Services, your content, or your breach of these Terms.

13. Term and Termination

Either party may terminate an engagement as set out in the applicable service agreement. We may suspend or terminate access to the Services if you breach these Terms. Provisions that by their nature should survive termination will survive.

14. Governing Law

These Terms are governed by the laws of Poland, without regard to its conflict-of-laws rules. The courts located in Kraków, Poland will have exclusive jurisdiction over any dispute.

15. Changes to These Terms

We may update these Terms from time to time. We will post the updated version on this page and revise the "Last updated" date above. Continued use of the Services after changes take effect constitutes acceptance.
